Notice for Second Court Hearing: WGA Group Holdings Pty Ltd

WGA Group Holdings Pty Ltd ACN 649 953 980 (Company or WGAGH) refers to its shareholder announcement regarding entry into a Scheme Implementation Deed (SID) with AtkinsRéalis Group Inc. (TSX: ATRL) (AtkinsRéalis) under which AtkinsRéalis Australia Holdings Pty Ltd ACN 697 935 685 (AtkinsRéalis Sub) will acquire 100% of the issued shares in WGAGH by way of a scheme of arrangement under Part 5.1 of the Corporations Act 2001 (Cth) (Scheme).

On 6 August 2026, the Supreme Court of New South Wales made orders that WGAGH convene meetings of each class of its shareholders in relation to the Scheme, scheduled to be held consecutively from 11:00am (ACST) on 31 August 2026 (Scheme Meetings), to consider and vote on the proposed Scheme.

Court Date

Subject to WGAGH’s shareholders approving the Scheme by the requisite majorities at the Scheme Meetings, the Supreme Court of New South Wales (Court) will hear an application by WGAGH on Thursday, 3 September 2026 at 3.45pm (Sydney time) (the Second Court Hearing).

If you wish to oppose approval of the Scheme by the Court at the Second Court Hearing, you must file with the Court and serve on WGAGH a notice of appearance, in the prescribed form, together with any affidavit on which you wish to rely at the hearing. The notice of appearance and affidavit must be served on WGAGH at its address for service at least one (1) day prior to the date fixed for the Second Court Hearing.
